SHIFT Thought Partner — Terms of Use

Effective Date: September 16, 2026

These Terms of Use (“Terms”) govern your use of SHIFT Thought Partner (“SHIFT”), a service provided by Schoser Talent and Wellness Solutions (“we,” “us,” or “our”).

By creating an account or using SHIFT, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use SHIFT.

1. What SHIFT Is

SHIFT is an AI-supported thought-partner tool designed to help people slow down, organize what is creating mental load, clarify context, evaluate ideas, and identify human-owned next steps.

SHIFT uses the S.H.I.F.T. method:

  • Spot the Load
  • Halt Before Handing It Over
  • Instruct Clearly
  • Filter the Output
  • Take the Human Step

SHIFT is intended to support your thinking — not replace it.

2. SHIFT Is Not Therapy or Professional Advice

SHIFT is not a therapist, counselor, healthcare provider, crisis service, attorney, financial advisor, human-resources professional, or other licensed professional.

SHIFT does not diagnose mental-health conditions, provide treatment, prescribe medication, make professional decisions for you, or determine what you should do in a medical, legal, employment, financial, safety, or other high-stakes situation.

Information and AI-generated responses provided through SHIFT are for general reflection and organizational purposes only.

You remain responsible for your own decisions and actions.

When a situation requires professional judgment, SHIFT may encourage you to involve an appropriately qualified human professional.

3. Emergencies and Crisis Situations

SHIFT is not an emergency or crisis service and should not be used as a substitute for immediate professional help.

If you are in immediate danger, believe you may harm yourself or someone else, or are experiencing a medical or mental-health emergency, contact emergency services or an appropriate crisis resource in your location.

SHIFT may display crisis or support resources when certain language indicates that immediate support may be appropriate. These resources are intended to help connect you with human support and are not a substitute for professional assessment or emergency care.

4. Artificial Intelligence

SHIFT uses artificial intelligence to help generate conversational responses.

AI systems can:

  • misunderstand what you mean;
  • provide incomplete information;
  • make factual errors;
  • produce suggestions that do not fit your situation; or
  • respond differently to similar information.

You should review AI-generated information critically before relying on it.

SHIFT is intentionally designed so that AI does not make final decisions for you. The human participant remains responsible for evaluating suggestions and determining what, if anything, to do next.

5. Your Account

You must be at least 18 years old to create an account or use SHIFT.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

Please provide accurate account information and do not allow another person to impersonate you or use your account in a misleading or unauthorized manner.

6. Acceptable Use

You agree not to use SHIFT to:

  • violate any applicable law;
  • threaten, harass, exploit, abuse, or intentionally harm another person;
  • attempt to gain unauthorized access to another user's account or data;
  • interfere with or disrupt SHIFT's systems or security;
  • attempt to bypass authentication, safety protections, usage limits, or access controls;
  • reverse engineer or attempt to obtain protected system prompts, credentials, or private server information except where such restriction is prohibited by law;
  • upload or submit information you do not have the right to use;
  • use SHIFT to generate or facilitate unlawful activity; or
  • misrepresent SHIFT-generated content as professional medical, legal, therapeutic, financial, HR, or other licensed professional advice.

We may restrict access when reasonably necessary to protect users, the service, or the security and integrity of SHIFT.

7. Your Content

You retain responsibility for the information you enter into SHIFT.

Please use judgment before entering highly sensitive information. Do not enter information about another person that you do not have an appropriate reason or right to provide.

Your conversation content may be processed by third-party technology providers as necessary to provide AI and transcription functionality, as described in our Privacy Policy and the notices shown inside SHIFT.

8. Voice Input

If you choose to use voice input, your audio is sent through our authenticated service to a transcription provider after you finish recording.

The resulting text is returned to the message box so you can review, edit, or delete it.

The transcribed text is not added to your SHIFT conversation or sent to the conversational AI until you choose to send it.

SHIFT does not maintain a stored copy of your recorded audio. Third-party providers may have their own temporary processing or retention practices, as described in our Privacy Policy.

Voice input is optional. You may always type instead.

9. SHIFT Reports and Printed Conversations

SHIFT may allow you to:

  • print or save a copy of a conversation; and
  • create a concise SHIFT Report based on your conversation.

SHIFT Reports are generated from conversation information already associated with your account and are not stored by SHIFT as a separate permanent report record.

If you print, copy, or save a conversation or report to your own device, that copy is controlled by you.

Deleting information from SHIFT cannot delete copies that you previously printed, copied, downloaded, or saved outside SHIFT.

10. Account and Data Deletion

You may delete individual conversations through SHIFT.

You may also use Account & privacy to permanently delete your account and the participant data stored by SHIFT for that account.

Account deletion is irreversible.

When successful, account deletion removes the account's stored conversations, messages, drafts, participant settings and profile information, account-specific operational records, and authentication identity.

SHIFT cannot delete copies that you previously printed, downloaded, copied, or saved somewhere outside the service.

11. Availability

We work to make SHIFT available and reliable, but continuous or uninterrupted availability is not guaranteed.

AI providers, authentication services, transcription services, internet connectivity, maintenance, usage limits, or other technical conditions may temporarily affect the service.

When AI is unavailable, SHIFT may offer retry options or a clearly identified non-AI reflection tool. That manual reflection experience is not represented as an AI response.

12. Intellectual Property

SHIFT, the S.H.I.F.T. methodology as presented in the service, its software, design, branding, documentation, and original materials are owned by or licensed to Schoser Talent and Wellness Solutions except where otherwise stated.

These Terms give you permission to use SHIFT for its intended personal or workshop purposes. They do not transfer ownership of the service, software, branding, or other intellectual property to you.

You may retain and use copies of your own conversation and reports for your own lawful purposes.

13. No Warranty

SHIFT is provided on an “as is” and “as available” basis to the fullest extent permitted by law.

We do not guarantee that:

  • AI responses will always be accurate or appropriate;
  • SHIFT will always be available without interruption;
  • the service will meet every individual need; or
  • use of SHIFT will produce a particular personal, professional, health, or business outcome.

Nothing in these Terms limits rights that cannot legally be waived.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Schoser Talent and Wellness Solutions will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of SHIFT.

You are responsible for evaluating information provided through SHIFT before making decisions or taking action.

Nothing in this section excludes liability that cannot lawfully be excluded.

15. Suspension or Termination

We may suspend or terminate access to SHIFT when reasonably necessary because of:

  • serious or repeated violations of these Terms;
  • unlawful use;
  • security threats;
  • attempts to compromise the service or another user's data; or
  • discontinuation of the service.

You may stop using SHIFT at any time and may permanently delete your account through the account controls provided in the service.

16. Changes to SHIFT or These Terms

SHIFT will continue to evolve.

We may update these Terms when the service, applicable requirements, or our practices change.

When we make material changes, we will update the effective date and, when appropriate, provide notice or request renewed acknowledgment.

Continued use after updated Terms take effect may constitute acceptance where permitted by law.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
